1. Acceptance of Terms

By accessing or using Meridian Prime ("we," "us," or "our") mobile application, web application, API, and related services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Meridian Prime. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting. Your continued use of the Service after any such modifications constitutes your acceptance of the modified Terms.

2. Description of Service

Meridian Prime is a professional-grade navigation and coordinate calculation service designed for oilfield professionals, surveyors, and land professionals. The Service provides:

• Calculation of Legal Subdivision (LSD) coordinates using bilinear interpolation
• Geographic polygon data retrieval for land sections
• Map integration and navigation features
• Calculation history storage and management
• Cross-platform access via iOS app and web application

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 13 years of age (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3.2 Account Registration

To access certain features of the Service, you may be required to create an account using Sign in with Apple. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate, current, and complete
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
• Transmit any malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems (bots, scrapers) to access the Service without our express written permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service for any commercial purpose without our prior written consent
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Collect or harvest any information from the Service
• Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Service, including its original content, features, functionality, algorithms, design, and compilation, is owned by Meridian Prime and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the Service, except as expressly permitted by applicable law.

5.2 Your Content

You retain ownership of any data, calculations, or content you create or upload to the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the Service.

6. Accuracy and Disclaimers

6.1 Coordinate Accuracy

While we strive to provide accurate coordinate calculations using industry-standard algorithms and verified data sources, we make no warranties or representations regarding the accuracy, completeness, or reliability of any calculations or data provided by the Service. The Service is provided for informational and navigational purposes only.

You acknowledge and agree that:

• Coordinate calculations are estimates based on mathematical interpolation and may not reflect exact on-ground positions
• You should verify coordinates using official survey data and professional surveying methods for critical applications
• We are not responsible for any errors, omissions, or inaccuracies in the calculations or data
• The Service should not be used as the sole basis for legal, surveying, or property boundary decisions

6.2 General Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not warrant or make any representations regarding the use or results of the Service in terms of accuracy, reliability, or otherwise.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MERIDIAN PRIME, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

8. Indemnification

You agree to defend, indemnify, and hold harmless Meridian Prime, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or using account deletion features, if available. Upon termination, we may delete your account and data, subject to our data retention policies as described in our Privacy Policy.

All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Saskatchewan, Canada, without regard to its conflict of law provisions.

10.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the Canadian Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be replaced with a valid provision that comes closest to the intent of the invalid provision.

13. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Meridian Prime regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral, relating to the Service.

15. Acknowledgment
